Terms of Service
⚠️ UNREVIEWED DRAFT — DO NOT PUBLISH AS-IS. This document was drafted by an engineering-side compliance pass to accurately describe what TroveWright's product actually does today. It has not been reviewed by a lawyer, does not constitute legal advice, and must not be treated as legally binding or published to a real user until qualified legal counsel has reviewed and approved it. Bracketed [LIKE THIS] values are facts only the business can supply (legal entity name, jurisdiction, dispute-resolution terms) — the rest of the text is intentionally specific to TroveWright's actual features, not generic boilerplate, so counsel is reviewing real claims rather than filling in a template.
Effective date: [DATE — do not set until this document is approved for publication]
1. Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of TroveWright's mobile app, marketplace, and related services (together, the "Service"), operated by Frosty Fitz Games LLC, a Massachusetts limited liability company ("TroveWright," "we," "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
2. Eligibility
You must be at least 13 years old to create a TroveWright account. If you want to sell on TroveWright's marketplace, you must confirm your date of birth as part of seller registration, and TroveWright enforces this minimum age requirement at both the app and server level. If you are under 18, you may only use the Service with the involvement of a parent or guardian to the extent required by applicable law — TroveWright does not independently verify parental consent beyond the minimum-age check described above.
[Decision, confirmed for U.S. launch: no separate parental-consent mechanism for the 13–17 age band. COPPA itself only applies under 13, so there's no U.S. federal requirement for anything more; sellers (the higher-risk case, since it involves receiving payouts) are already gated above 13 in practice by Stripe Connect's own KYC, which requires the account holder be a legal adult in their jurisdiction, independent of anything TroveWright builds. This does not carry over to an EU/UK launch — several EU member states set the GDPR "digital age of consent" for data-processing consent above 13 (up to 16), which is a live requirement, not a hypothetical. Hard gate: resolve this specifically with counsel before TroveWright launches to EU/UK users, even though it's not blocking for the U.S. launch.]
3. Your account
You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@trovewright.app if you suspect unauthorized access to your account. You agree to provide accurate account information and to keep it up to date.
4. Subscription plans and billing
TroveWright offers optional paid subscription plans — Pro (for individual collectors) and Dealer and Vendor (for store/organization accounts) — each unlocking inventory management, point-of-sale, and other seller-facing tools beyond the free tier. Current pricing is shown in the app before you subscribe. Dealer and Vendor plans include a set number of seats at the base price, with each additional seat billed separately per month.
Billing and auto-renewal. Subscriptions are billed monthly in advance through Stripe Checkout. Your subscription automatically renews each month at the then-current price until you cancel. There is no free trial — your payment method is charged as soon as you subscribe.
Managing or canceling your subscription. You can view your plan and cancel at any time from your account settings, which opens Stripe's hosted billing portal.
[Action item, not something this draft can confirm from the codebase: whether canceling in the billing portal takes effect immediately or at the end of the current billing period, and whether Stripe's portal configuration issues a prorated refund on cancellation. Confirm the actual portal configuration and reflect it here before publishing — this is exactly the kind of auto-renewal disclosure detail several states' automatic-renewal laws require to be stated accurately.]
Refunds. TroveWright does not currently have an automated in-app refund process for subscription charges. If you believe you were charged in error, contact support@trovewright.app.
Changes to plans or pricing. [Business decision, not something this draft can supply: how TroveWright will notify subscribers of a price increase or plan change before it takes effect, and how much notice will be given.]
5. User content
What you can post. TroveWright lets you create listings, a seller profile and bio, an organization (if you run or help run a store), public "stacks" (shared collections), event details, and other content ("User Content"). You retain ownership of your User Content. By posting it, you grant TroveWright a non-exclusive, worldwide, royalty-free license to host, display, and distribute it as necessary to operate the Service — for example, showing your listing to other users or your public stack to anyone with the link.
Your responsibility. You're solely responsible for your User Content and confirm that you have the right to post it and that it doesn't violate these Terms, applicable law, or any third party's rights.
Prohibited content. You may not post User Content that is: illegal, fraudulent, or misleading (including counterfeit-item listings); harassing, hateful, or threatening; sexually explicit or exploitative of a minor in any way; spam or unsolicited advertising unrelated to legitimate marketplace activity; or that impersonates another person or entity. TroveWright uses automated filtering on names and text across the Service as a first line of defense, backed by user reporting and admin review (Section 8) — automated filtering is not a guarantee that all violating content will be caught before it's visible, and we rely on the reporting tools described below to catch what filtering misses.
Removal. We may remove or restrict User Content, and suspend or terminate accounts, that violate these Terms, at our discretion and with or without notice, as described in Section 10.
6. Marketplace terms
Not yet live. The peer-to-peer marketplace described in this section has not yet launched to users — TroveWright's initial release offers subscription plans (Section 4) and organization/point-of-sale tools (Section 7) only. This section is included in advance so the terms are ready when the marketplace launches, and TroveWright will provide notice (Section 13) when it does.
Listings and transactions. Once live, sellers will list items for sale and buyers will purchase through Stripe Checkout. Payment will be processed by Stripe; TroveWright will not handle your raw payment card details. Sellers will receive payouts through Stripe Connect, subject to Stripe's own terms and any identity verification Stripe requires to enable payouts.
Fees. [Marketplace/transaction fee structure — to be specified by the business; not something this draft can supply since it's a business/pricing decision, not a product-fact finding.]
Item accuracy. Sellers will be responsible for accurately describing and photographing items listed for sale, including condition and authenticity. TroveWright will be a venue connecting buyers and sellers and will not be a party to the transaction between them, except to the extent Stripe Connect's payment-facilitation role makes it one.
Shipping. A buyer's shipping name and address, entered at checkout, will be shared with the seller once payment completes. Sellers will be responsible for shipping the item to that address using the shipping option the buyer selected and for providing accurate tracking information where available. TroveWright will not itself ship, insure, or take custody of items in transit.
Seller suspension. TroveWright may suspend a seller's ability to list items if we determine their account has violated these Terms, independent of any Stripe-driven payment eligibility status.
Disputes between buyers and sellers. TroveWright will encourage buyers and sellers to resolve disputes directly. [Refund/dispute-resolution policy — to be specified by the business.]
7. Local game store (LGS) organizations and events
Users who create or manage an organization on behalf of a store can list inventory, run point-of-sale transactions, and create events (such as tournaments) visible to other users. An organization's name and event details are subject to the same content standards as any other User Content (Section 5), including automated filtering and the reporting/moderation process below.
Peer-to-peer payment at checkout. If you or a customer chooses a Venmo, CashApp, or PayPal QR code as a point-of-sale payment method, that payment is made directly between you and the customer through the third-party app the customer selects. TroveWright does not process, receive, hold, or guarantee that payment and is not a party to it — you're responsible for confirming payment was actually received before completing the sale. This point-of-sale flow is live today and separate from the marketplace's Stripe Checkout transactions described in Section 6, which are not yet live.
8. Reporting, blocking, and moderation
You can report a listing, seller profile, organization, public stack, or user account you believe violates these Terms, from within the Service. Reporting requires a signed-in account. You can also block another user, which hides their content from your view of the marketplace and prevents new transactions between you and them. We review reports and may take action including content removal, content reset (e.g., resetting an offending display name or organization name), account suspension, or event cancellation, at our discretion. We do not notify a reported or blocked user that a report or block occurred.
9. Intellectual property
The TroveWright name, logo, and the Service itself (excluding User Content) are owned by Frosty Fitz Games LLC, a Massachusetts limited liability company, and protected by applicable intellectual property laws. You may not use TroveWright's branding without our written permission.
10. Termination
We may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms, with or without notice. You may stop using the Service and, per Section 7 of the Privacy Policy, request deletion of your account at any time by contacting privacy@trovewright.app.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TROVEWRIGHT DOES NOT GUARANTEE THE ACCURACY OF LISTINGS, THE CONDUCT OF OTHER USERS, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
[Standard disclaimer/limitation-of-liability language belongs here — intentionally left to legal counsel rather than drafted generically, since the specific liability caps and carve-outs are a legal risk decision, not a product fact this draft can responsibly guess at.]
12. Governing law and dispute resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles, and any dispute not otherwise resolved will be brought in the state or federal courts located in Massachusetts. If you're a resident of California, the EU, or the UK, applicable consumer-protection law in your jurisdiction may give you additional rights or require a different venue that overrides this section — see Section 10/11 of the Privacy Policy for those rights generally, and confirm with counsel whether any jurisdiction-specific carve-out belongs here directly.
[To be specified by legal counsel: whether TroveWright requires arbitration or a class-action waiver, and the precise venue/county language. Governing law is set to Massachusetts to match Frosty Fitz Games LLC's state of registration — confirm this is still the intended choice once EU/UK/California users are in scope, since some jurisdictions restrict how much a governing-law clause can override local consumer protections.]
13. Changes to these terms
We may update these Terms from time to time. If we make material changes, we'll provide notice (for example, through the app or by email) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
